THIS END USER LICENSE AGREEMENT (“Agreement”) is made and entered into this day by and between Erb&Arbor (“Company”, “We”, “Us”, or “Our”), and you, the end user (“User”, “You”, “Your”), for the use of Erb&Arbor Mobile Application (the “App”). By installing or using the App for any purpose, you agree to be bound by this Agreement.

**1. LICENSE**

1.1 The Company grants to you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the App for your personal, non-commercial use strictly in accordance with the terms of this Agreement.

**2. RESTRICTIONS**

2.1 You agree not to, and you will not permit others to license, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the App or make the App available to any third party.

**3. MODIFICATIONS TO APP**

3.1 The Company reserves the right to modify, suspend or discontinue, temporarily or permanently, the App or any service to which it connects, with or without notice and without liability to you.

**4. TERM AND TERMINATION**

4.1 This Agreement shall remain in effect until terminated by you or the Company. The Company may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.

**5. AMENDMENTS TO THIS AGREEMENT**

5.1 The Company reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

**6. USER DATA**

6.1 We may collect and use information about your usage of the App in accordance with our Privacy Policy. By accepting this Agreement, you also accept the terms of our Privacy Policy.

**7. INTELLECTUAL PROPERTY**

7.1 All intellectual property rights, including copyrights, patents, patent disclosures and inventions, trademarks, service marks, logos, etc. in the App are owned by the Company or its licensors, which the User shall not infringe upon in any way.

**8. APPLICABLE LAW**

8.1 This Agreement is governed by and construed in accordance with the laws of the jurisdiction in which the Company is established, without regard to its conflict of law provisions.
